JZ Creative Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by JZ Creative ("we," "us," or "our") across Australia. By engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. Please read them carefully.

1. Services:

2. Project Agreement:
Each project undertaken by JZ Creative will be governed by a separate Project Agreement. This agreement will outline the project scope, deliverables, timelines, payment terms, and any other specific conditions relevant to that project. In the event of a conflict between these Terms and a Project Agreement, the Project Agreement will prevail.

3. Payment:
Payment terms will be outlined in the Project Agreement. We typically require [Describe your payment structure, e.g., a deposit upfront, milestone payments, etc.]. Failure to make timely payments may result in project delays or termination.

4. Intellectual Property:
Unless otherwise agreed in writing, all intellectual property rights in materials created by JZ Creative for a project will remain with JZ Creative. Upon full payment for the project, certain rights may be transferred to the Client as specified in the Project Agreement. Pre-existing intellectual property owned by the Client remains with the Client.

5. Confidentiality:
Both parties agree to keep confidential any information disclosed during the course of the project.

6. Revisions and Changes:
[Describe your process for revisions and changes to the project scope. For example, how many rounds of revisions are included, what the process is for requesting additional revisions, and how changes to the scope are handled and priced.]
7. Project Timeline:
Project timelines will be outlined in the Project Agreement. While we strive to meet deadlines, unforeseen circumstances may arise that could affect the timeline. We will communicate any potential delays to the Client as soon as possible.

8. Client Responsibilities:
The Client is responsible for providing timely feedback, approvals, and necessary information required for the project's completion. Delays caused by the Client may impact the project timeline and may be subject to additional fees.

9. Termination:
Either party may terminate the Project Agreement with written notice. Upon termination, the Client will be responsible for paying for any work completed up to the termination date. [Outline any specific termination fees or conditions.]
10. Disclaimer:
We make no warranties, express or implied, regarding the results of our services. While we strive to deliver high-quality work, the success of any project depends on various factors, including market conditions, client input, and other variables beyond our control.

11. Limitation of Liability:
To the extent permitted by law, our liability for any claims arising out of or in connection with these Terms or the services provided shall be limited to the total fees paid by the Client for the specific project in question.  

12. Governing Law:
These Terms and any Project Agreements will be governed by and construed in accordance with the laws of Victoria, Australia. The parties agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia.

13. Entire Agreement:
These Terms, together with the Project Agreement, constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written.  

14. Changes to Terms:
JZ Creative reserves the right to modify these Terms at any time. Any changes will be posted on our website, and it is your responsibility to review them periodically.
